TYPES OF LICENSES REQUIRED FOR FOREIGN-INVESTED STUDY ABROAD CONSULTING COMPANIES

A foreign-invested enterprise is a business established by foreign investors to conduct business activities in Vietnam, or where foreign investors purchase shares, merge, or acquire businesses in Vietnam. This applies to joint-stock companies, limited liability companies, and partnerships according to the Enterprise Law.

In the era of renewal and integration in line with global trends, studying abroad is no longer a difficult endeavor. Going abroad for education is now a great option and a dream for many students, with numerous benefits that studying overseas offers. The market has seen a significant increase in study abroad consulting centers for our children. Therefore, to meet this practical demand, study abroad companies, especially those with foreign capital, have emerged to facilitate the direct transfer of students to developed countries for educational opportunities and experiences. Below are the necessary licenses for a foreign-invested study abroad consulting company operating in the Vietnamese market.

Business Registration Certificate for Study Abroad Consulting Services

According to legal regulations, to obtain a license for opening a foreign-invested study abroad consulting center, investors need to prepare the following documents:

  • A request document for the issuance of a business registration certificate for study abroad consulting services, including the following main contents: objectives, activities; ability to exploit and develop study abroad services; plans and measures for implementation; solutions for addressing risks faced by the consulting center regarding the students being advised.
  • A certified copy of the business registration certificate and the investment registration certificate of the enterprise.
  • A decision by the owner of the company to establish the study abroad consulting center.
  • A decision to appoint the director of the study abroad consulting center.
  • The charter of the study abroad consulting center.
  • The operational process of the study abroad consulting services.
  • Documents proving the facilities.
  • Study abroad orientation documents.
  • A list of staff directly involved in study abroad consulting, including information such as: full name, date of birth, gender, qualifications, language proficiency, and job position to be held in the consulting service organization.

Conditional Business License

A conditional business license is a permit issued by a competent state authority to legalize conditional business sectors when a company has the demand and meets the necessary conditions as stipulated by law.

Businesses registering for study abroad consulting services fall under item 114 of Appendix IV of the list of conditional investment and business sectors according to the Investment Law 2020.

Investment Certificate or Investment License

The investment registration certificate is a document, either in paper form or electronic form, that records the investor’s information about the investment project.

This document holds significant importance for individual or organizational investors looking to invest in business activities in Vietnam. For government authorities, the investment license is used to control the flow of foreign capital into Vietnam and to monitor the progress and timeline of the project.

To apply for an investment license for foreign investors in the vietnamese market, the following documents are required:

  • A copy of the passport for individual investors; a copy of the establishment certificate for organizational investors to confirm legal status.
  • An investment project proposal that includes details about the investor, objectives, project scale, source of capital and fundraising methods, labor requirements, proposed investment incentives if eligible, and an assessment of the project’s socio-economic impacts and effectiveness.
  • A copy of one of the following documents: the financial statements for the last two years of the investor; a financial support commitment from the parent company or a financial institution; documents proving the investor’s capacity.
  • Documentation proving that the investor has the right to use the location for implementing the investment project.

Foreign investors must submit the above documents by mail or deliver them directly to the Department of Planning and Investment or the Management Board of Industrial Parks, Export Processing Zones, High-Tech Zones, or Economic Zones.
