According to Clause 2, Article 44 of the 2020 Enterprise Law of Vietnam, a representative office is a form of dependent unit of an enterprise, tasked with representing the interests of the enterprise and protecting those interests. The representative office does not perform the business functions of the enterprise.

The representative office of a Singaporean company must often comply with the laws and regulations of Vietnam. It may have specific commercial objectives, such as marketing products or services, seeking investment opportunities, or managing business projects.

Documents for Establishing a Representative Office of a Singaporean Company

  • A sample notice of establishment of a representative office signed by the legal representative of the Singaporean company;

  • For a One Member Limited Liability Company with Singaporean capital: A decision from the owner regarding the establishment of the representative office.
  • For a Partnership Company or a Limited Liability Company with two or more members with Singaporean capital: A resolution/decision and a copy of the minutes of the meeting of the Members’ Council regarding the establishment of the representative office.
  • For a Joint Stock Company: A resolution/decision from the General Meeting of Shareholders and a copy of the minutes of the General Meeting of Shareholders regarding the establishment of the representative office.
  • A copy of the legal documents of the individual (ID card/Passport) for the head of the representative office.
  • A power of attorney in case the Singaporean company utilizes the services provided by Siglaw.

Procedure for Establishing a Representative Office of a Singaporean Company in Vietnam

Step 3: The company submits the application online via the National Business Registration Portal: https://dangkykinhdoanh.gov.vn/vn/Pages/Trangchu.aspx.

Step 4: Receive results: The processing time to issue the Certificate of Registration for the operation of the representative office of the Singaporean company in Vietnam will be approximately 03 working days from the date of receipt of the valid application.
