Company establishment service procedures of Siglaw Company
Step 1: Meet and discuss with customers
Customers who want to establish an enterprise may contact Siglaw via hotline or email. We will discuss and advise customers quickly via hotline. If necessary, both parties can meet to discuss more clearly.
During this meeting, the client will have the opportunity to present their requirements and goals in establishing their company. Siglaw will listen the customer’s specific requirements , then we will discuss in detail about our company establishment services for the customer and the two parties will come to an agreement.
Step 2: Process Customer information, then guides customers in detail to prepare company establishment documents.
Through direct communication or other forms of contact, customers will exchange and provide necessary information to Siglaw. For example : Details of the type of company the customer wants to establish, company name, registered address, business lines, charter capital structure and information about founding members.
Siglaw will guide customers on preparing specific documents and additional requests in case we need. The goal of this stage is to collect and confirm the necessary information to complete a full set of documents as we stated in the company establishment documents section .
This step will help Siglaw prepare company establishment documents effectively and quickly.
Step 3: Submit application for company establishment and pay the publishing of enterprise registration information fee
Siglaw Law Firm will submit the documents signed by the client online via the National Information Portal for business registration and other procedures.
Step 4: Get results
After about 03 working days from the date of valid application. The company will register the Certificate for customers by post, so the time it takes customers to receive the Certificate will be a little slower.
General documents need preparing
- Application for enterprise registration . ( For a joint stock company is form I-4, a single-member limited liability company is form I-2, a limited liability company with 2 or more members is form I-3, a partnership is form I-5, a private enterprise is is form I-1)
- Company charter (Except private enterprises)
- Legal documents of individuals for legal representatives
- Investment registration certificate in case the enterprise is established by a foreign investor or an economic organization with foreign investment capital according to the provisions of the Investment Law and its guiding documents. (Except private enterprises)
- Some legal documents certifying valid identity (note: if the owner/shareholder is a foreign organization, copies of the organization’s legal documents must be consularly legalized)
Specific documents for each type of business
- List of founding shareholders and list of shareholders form I-7 as foreign investors according to form I-8
- Copies of personal legal documents for the legal representative of the enterprise;
- List of people as legal representative of the company according to form I-10

Procedures after establishing a company
Customers can carry out this procedure themselves or have Siglaw perform it, including:
- Open a company account.
- Choose a bank: First, choosing a suitable bank to open a company account. There are many factors to consider including banking services, fees and other conditions, transaction norms, technology amenities, etc. It is advisable to research and compare banks before making a decision.
- Prepare documents including: Application to open an account according to the form of the bank; Notarized copies of legal documents of the account holder and chief accountant; Decision appoint chief accountant; Notarized copy of business registration certificate.
- Fill out the application with accurate information that matches the company’s legal documents.
- Once approved, the final procedures is to activate the company account. Usually, customer will make a deposit to initialize the account balance.
Engrave company seal & make company advertising signs
Currently there are many shops that accept engravings. The normal engraving time is about 1 day.
Many companies believe that hanging advertising signs is optional, however, in fact, the Advertising Law has specific regulations on posting signs as follows:
Article 34 of the Law on Advertising. Signboards of organizations and individuals doing business and production
- The signboard must include the following contents:
- a) The name of the direct line agency (if any);
- b) The name of the production facility or the business establishment consistent with the Certificate of business registration;
- c) The address and phone number.
The display of writing on signs must comply with the provisions of Article 18 of this Law.
Article 18. Words and text in advertisements
- The advertisement content must be expressed in Vietnamese, except for the following cases:
- a) The brand name, slogan, trade mark or proper name is in foreign languages, or internationalized words that cannot be substituted by Vietnamese;
- b) Books, websites and print media permitted to be published in Vietnam’s ethnic languages, foreign languages; radio, television broadcasts in Vietnam’ ethnic languages or foreign languages.
- For advertisements that contain both Vietnamese and the foreign language, the foreign font size must not exceed three quarters of the Vietnamese text and must be placed below the Vietnamese text; on radio, TV or other audio-visual media, the Vietnamese must be spoken before the foreign text
Register to use electronic invoices
Step 1: Customers prepare a declaration according to Form No. 01/DKTĐ-HDĐT Appendix IA of Decree 123 and send it to the tax authority.
Step 2: The e-portal of the General Department of Taxation receives and notifies customers
Step 3: The tax authority sends a notice according to Form No. 01/TB-DKDT Appendix IB Decree 123/2020 to the Company about the results in 01 day.
Register to buy and register for electronic signature
- Select supplier
- Prepare documents: Authenticated copy of Business Registration License; A certified copy of one of the legal documents of the business representative sends the above set of documents to the digital signature certification unit to receive the digital signature.
Then fulfill tax, labor, accounting and intellectual property obligations
Apply for sub-licenses if doing business in conditional occupations
In case the company does business in conditional industries such as pharmaceuticals, banking, insurance, securities,.., the company needs to apply for relevant sub-licenses . This requires the company to comply with regulations, standards and special requirements of each industry
